NON DISCLOSURE AGREEMENT

WHEREAS the undersigned wish to access the private area of this website to see confidential documents on intellectual property being developed by Fat Balloon Animation and its associates, affiliates or partners, and;

WHEREAS, Fat Balloon Animation conceptualized the projects and/or invested considerable resources in research and development in the projects, and;
    
WHEREAS, the undersigned understands the importance of this agreement in order to preserve confidentiality and restrict the use of confidential information, he hereby acknowledges agreeing with the following:

1. For the purposes of this Agreement, the term "Confidential lnformation" includes, without limitation, trade secrets, proprietary information, patents, trademarks, copyrights and other intellectual property and all the following types of information and other information of a similar nature (tangible or intangible, and whether or not reduced to writing): discoveries, ideas, concepts, scenarios, prototypes, plans, drawings, diagrams, procedures, technical specifications, models, data, documentation, diagrams, procedures and "know how» and all materials, documents and information, regardless of the form and no matter if this is marked with the words "confidential", "owner", "trade secret" or a similar legend. (Collectively referred to as "Confidential Information").

2. The undersigned agrees to take appropriate measures to limit and control the use of the Confidential Information and to use the Confidential Information only for the purposes indicated in this preamble.
    
	3. The undersigned agrees at any time not to disclose, transmit or use the Confidential Information for interests other than Fat Balloon Animation, in particular for his benefit or the benefit of any other person or entity.
    
	4. It is stated that the Confidential Information shall not include: i) information that becomes publicly available otherwise than by reason of its disclosure by the undersigned in violation of this, ii) the information to which the undersigned had access prior to its disclosure under this, iii) the information to which the undersigned has access on a non-confidential basis from a source and not to its knowledge subject to a confidentiality agreement, iv) information that the undersigned has acquired or developed independently without any violation of its obligations under this and v) information to be disclosed by law, a court order, subpoena, government agency or an agency regulation. If the undersigned wishes to invoke one or more of the exceptions specified in this paragraph, shall have the burden of proving that exception applies.
    
	5. This agreement binds the parties and their affiliates, their directors, officers, employees, assigns and representatives.
